These Terms of Service (the "Terms") govern your access to and use of the website at sendmint.app, our waitlist, and any related content we make available (together, the "Site"). The Site is operated by Sendmint Technologies Ltd ("Sendmint", "we", "us" or "our"). By using the Site or joining the waitlist, you agree to these Terms. If you do not agree, do not use the Site.
1. What the Site is (and what it is not)
Sendmint is building a multicurrency money app. The Site describes that upcoming product and lets you register interest by joining a waitlist.
The Site does not offer financial services. No accounts, payments, currency exchange, deposits, cards or other regulated services are provided through the Site, and nothing on the Site is an offer, solicitation or recommendation to buy or sell any financial product, or financial, legal, tax or investment advice. When the Sendmint app launches, its services will be governed by separate terms presented to you before you open an account, and may be provided by or with licensed partner institutions.
Descriptions of planned features, pricing, availability, timelines and partnerships are forward-looking, may change or be withdrawn at any time, and are not commitments.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Site or join the waitlist. By using the Site you represent that this is true and that your use complies with the laws that apply to you.
3. The waitlist
- Joining the waitlist registers your interest; it does not create an account, reserve a product, or guarantee that you will receive access, and we may grant, order, delay or decline access at our discretion.
- You agree to provide a valid email address that you control, and you consent to receiving waitlist and launch communications at that address. You can unsubscribe at any time using the link in any email.
- We may remove entries that appear automated, duplicative, fraudulent or abusive.
4. Acceptable use
When using the Site you must not:
- break any applicable law or regulation;
- interfere with or disrupt the Site, probe or test its vulnerabilities, or circumvent any security or access controls;
- use bots, scrapers or other automated means to access the Site or submit waitlist entries, except as permitted by standard search engine indexing;
- impersonate any person or misrepresent your affiliation;
- copy, frame or mirror the Site or use it to build a competing product; or
- upload or transmit malicious code of any kind.
5. Intellectual property
The Site and everything in it, including the Sendmint name and logo, text, graphics, interfaces and software, are owned by Sendmint or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for personal, non-commercial purposes. No other rights are granted, and nothing in these Terms transfers any ownership to you.
6. Feedback
If you send us ideas, suggestions or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it for any purpose without obligation or compensation to you.
7. Third-party links and services
The Site may link to third-party websites or services (for example, social media). We do not control them and are not responsible for their content, policies or practices. Your use of them is at your own risk and subject to their terms.
8. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE OR SECURE, OR THAT INFORMATION ON IT IS COMPLETE OR CURRENT. NOTHING IN THIS SECTION LIMITS RIGHTS YOU HAVE UNDER LAW THAT CANNOT BE EXCLUDED.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENDMINT AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100) OR THE MINIMUM AMOUNT PERMITTED BY APPLICABLE LAW, WHICHEVER IS GREATER. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED BY LAW, INCLUDING FOR FRAUD.
10. Indemnification
You agree to indemnify and hold Sendmint harmless from claims, losses and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Site, except to the extent caused by our own breach or negligence.
11. Suspension and termination
We may suspend or terminate your access to the Site or remove you from the waitlist at any time, with or without notice, if we reasonably believe you have breached these Terms or where required for legal or security reasons. Sections that by their nature should survive termination (including Sections 5, 6 and 8–13) survive.
12. Changes to the Site and these Terms
We may change or discontinue the Site (or any part of it) at any time. We may also update these Terms; if we make material changes we will update the "Last updated" date and, where appropriate, give additional notice. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws rules. Before starting any formal proceedings, you agree to first contact us at legal@sendmint.app so we can try to resolve the dispute informally within 30 days. Disputes that cannot be resolved informally are subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, unless mandatory law in your country of residence gives you the right to bring proceedings elsewhere.
14. General
These Terms (together with the Privacy Policy) are the entire agreement between you and Sendmint about the Site. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets.
